Service Level Agreement (SLA)

1. Introduction

This Service Level Agreement (SLA) is part of the comprehensive set of policies governing the use of [Your SaaS Product] provided by Patrol Direct LLC. 2. Service Commitment

3. Support

  • Hours: Support availability varies 7 days a week [Mon-Sun].
  • Response Time: We aim to respond to communications within 48 hours.

4. Data Backup

Backups are performed at least weekly. However, customers are encouraged to maintain their own backup copies of their data. Data backups are not guaranteed.

5. Service Interruptions

Temporary service interruptions for maintenance, updates, or unforeseen circumstances are generally not considered downtime. Scheduled maintenance will be communicated in advance when possible.

6. Liability

Patrol Direct LLC assumes no liability for service interruptions, data loss, or any issues arising from the use of the service. In case of any conflict or overlap, the Terms and Conditions shall prevail.

7. Customer Responsibilities

  • Issue Reporting: Customers must promptly report any issues or service interruptions to [support@patroldirect.com] with detailed information.
  • Proper Usage: Customers are responsible for ensuring proper usage of the software and must not allow misuse or abuse of the service.
  • User Training: Customers must provide adequate training for their users to ensure effective and proper use of the software.
  • Data Integrity: Customers are responsible for maintaining the accuracy and integrity of their data and for implementing appropriate data recovery measures.
  • Data Security Practices: Customers are responsible for their own data security practices, including using strong passwords and securing their login credentials.
  • Compliance: Customers are responsible for ensuring their use of the service complies with all applicable laws and regulations.
  • User/Data Acceptability: Customers are responsible for ensuring their data is appropriate for use by users at all times. Users are to be trained in the use of software and advised on the informational purpose of [Your SaaS Product]. All information provided and shared using Patrol Direct services should always be verified by trusted professionals and trusted sources, and never used as a legal reference.

8. Force Majeure

Patrol Direct LLC is not liable for any failure or delay in performance due to circumstances beyond our control, including but not limited to acts of nature, war, terrorism, strikes, and other force majeure events.

9. Limitation of Damages

Patrol Direct LLC is not liable for any indirect, incidental, or consequential damages, including but not limited to lost profits or data, arising from the use of the service.

10. Indemnification

Customers agree to indemnify and hold harmless Patrol Direct LLC from any claims, damages, or losses arising from their use of the service.

11. Third-Party Services

Patrol Direct LLC assumes no liability for disruptions, data loss, or security breaches caused by third-party services, integrations, or data transmissions over the internet.

12. Limitation on Remedies

The remedies provided in this SLA are the customer's sole and exclusive remedies for any issues covered by the SLA, unless otherwise explicitly covered in the Terms and Conditions.

13. No Guarantees and No Warranty

The service is provided "as is" without any warranties of any kind, whether express or implied. Patrol Direct LLC does not guarantee uninterrupted or error-free service. Refer to the Terms and Conditions for more details.

14. Termination

Patrol Direct LLC reserves the right to terminate the service at any time, with or without cause. Customers will be notified of termination and provided with data retrieval options if they are available.

15. Free Services

Any free services provided by Patrol Direct LLC are offered without any warranties or liability.

16. Data Transfer Disclaimer

Patrol Direct LLC is not responsible for data loss or breaches that occur during data transfer over the internet.

17. Usage Monitoring

Patrol Direct LLC reserves the right to monitor customer usage of the service to ensure compliance with this SLA and other policies.

18. Policy Agreement

By using [Your SaaS Product], customers and their users [informed by the customer] agree to comply with this and all other policies, including the Terms and Conditions, Privacy Policy, Cookie Policy, Return Policy, Disclaimer, and Acceptable Use Policy. 19. Amendments

20. Governing Law

This SLA is governed by the laws of Illinois, USA.

21. Severability

If any provision of this SLA is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

22. Interpretation

In the event of any ambiguity, discrepancy, or disagreement, Patrol Direct LLC’s interpretation shall prevail. Any matters not explicitly covered in this SLA or any other related policies are at the discretion of Patrol Direct LLC.

23. Entire Agreement

This SLA, together with the Terms and Conditions and all other related policies mentioned throughout this agreement, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements and understandings. In the event of any ambiguity, discrepancy, or disagreement, Patrol Direct LLC’s interpretation shall prevail.

24. Data Privacy Compliance

Patrol Direct LLC complies with all applicable data privacy laws and regulations as detailed in our Privacy Policy.
